The University of the State of New York, Education Department, Absolute Charter of Associated Colleges of the Mid-Hudson Area. This instrument witnesseth that the Board of Regents for and on behalf of the Education Department of the State of New York has granted this absolute charter: 1. Incorporating Reamer Kline, Donald A. Eldridge, Charles E. Adkins, James F. Hall, Linus R. Foy, William G. Haggerty, and Alan Simpson and their associates and successors as an educational corporation under the corporate name of Associates Colleges of the Mid-Hudson Area, to be located at Poughkeepsie, County of Dutchess, State of New York. 2. The purposes for which such corporation is to be formed are: a. To act and serve primarily as an organization through and by means of which colleges and universities may by joint and united action: (1) more effectively and efficiently achieve and carry out their separate corporate purposes and aims; (2) develop, promote and maintain programs and projects in support of their separate educational programs including those which may be beyond the means or abilities of any one college or university; and (3) enlist the cooperation of other area institutions in educational programs beneficial to the area in which such colleges and universities are located; and b. To plan for and effect improvements such as, but not limited to, the following aspects of programs of the colleges and universities involved: library faciliites and services; instructional materials; administrative and personnel procedures; use of television as a medium of instruction; business services; purchasing; food services; health services; college store services; accounting methods and records maintenance; admissions and registration procedures; student activities, programs and services; financial services; facilities and programs of all kinds; and in general, to do any and all things to initiate and effect cooperation among its several members to further the accomplishment of their individual and collective educational efforts. 3. The persons named as incorporators shall constitute the first board of trustees. The board shall have power to adopt bylaws, including therein provisions fixing the method of election and term of office of trustees, and shall have power also, by vote of the two-thirds of all the members of the board of trustees, to change the number of trustees, to be not more than 25 nor less than 5. 4. The corporation hereby created shall be a nonstock corporation organized and operated exclusively for educational purposes, and no part of its earnings or net income shall inure to the benefit of any individual, and no office; member or employee of the corporation shall receive or be entitled to receive any pecuniary profit from the operation thereof, except reasonable compensation for services. 5. The principal office of the corporation is to be located at Poughkeepsie, County of Dutchess, State of New York. 6. The Commisioner of Education is designated as the representative of the corporation upon whom process in any action or proceeding against it may be served.
